The specific terms, service levels, and pricing for each service are set out in individual service agreements or order forms agreed between Peravix and the customer. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall take precedence.

3. Use of This Website

You may use our website for lawful purposes only. You must not:

• Use the website in any way that violates applicable UK or international laws or regulations
• Transmit any unsolicited or unauthorised advertising or promotional material
• Attempt to gain unauthorised access to any part of the website or its related systems

6. Payment and Billing

Payment terms for Peravix services are set out in individual service agreements. Unless otherwise agreed:

• Invoices are issued monthly in advance
• Payment is due within 14 days of invoice date
• Late payment may result in service suspension after reasonable notice
• All prices are exclusive of VAT unless otherwise stated

7. Service Levels and Availability

We aim to provide our services with high availability and reliability. Specific uptime commitments and service level agreements (SLAs) are set out in individual service agreements.

We reserve the right to carry out planned maintenance, which we will endeavour to schedule outside of core business hours and with advance notice where possible.

We shall not be liable for service interruptions caused by circumstances beyond our reasonable control, including but not limited to acts of God, third-party network failures, or government actions.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• Peravix shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website
• Our total liability to you in connection with any service shall not exceed the total fees paid by you for that service in the 12 months preceding the claim
• Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law

9. Indemnification

You agree to indemnify and hold harmless Peravix Group Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of our services or website in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights

10. Termination

Either party may terminate a service agreement in accordance with the notice periods set out in that agreement. We reserve the right to suspend or terminate services immediately if:

• You materially breach these Terms or your service agreement
• You fail to pay invoices after reasonable notice
• We are required to do so by law or regulatory authority
• Your use of services poses a security risk to us or other customers

11. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify existing customers of material changes via email or through the client portal. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
